Please read these Terms carefully. They constitute a legally binding agreement between you and Statemart Technologies Pvt. Ltd. governing your use of the Statemart.ai platform. By registering as a seller or buyer, you confirm that you have read, understood, and agree to these Terms.
1. Acceptance of Terms
By accessing or using Statemart.ai ("Platform"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all the Terms, you may not access or use the Platform. These Terms apply to all visitors, buyers, sellers, and others who access or use the Platform.
2. Eligibility
You must be at least 18 years old and capable of entering into a legally binding contract under the Indian Contract Act, 1872 to use the Platform. By using the Platform, you represent and warrant that you meet these requirements. Businesses must be duly registered under applicable Indian law.
3. User Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. You agree to notify us immediately at support@statemart.ai of any unauthorized use of your account. Statemart.ai will not be liable for any loss or damage arising from your failure to protect your account.
4. Seller Responsibilities
Sellers agree to: • Provide accurate and complete business information including valid GSTIN where applicable • List only genuine products/services they are authorized to sell • Respond to buyer inquiries within a reasonable time • Not engage in fraudulent, misleading, or deceptive practices • Comply with all applicable Indian laws including the Consumer Protection Act, GST regulations, and trade regulations • Not list prohibited or restricted goods as defined by Indian law
5. Buyer Responsibilities
Buyers agree to: • Submit genuine inquiries with intent to purchase • Verify seller credentials and product quality before finalizing transactions • Not use the platform for competitive intelligence gathering or scraping • Conduct due diligence before making any payments to sellers Statemrt.ai is a marketplace platform and does not guarantee the quality, safety, or legality of products listed.
6. Prohibited Activities
Users are strictly prohibited from: • Posting false, misleading, or fraudulent content • Impersonating any person or entity • Violating any applicable law or regulation • Transmitting spam, viruses, or malicious code • Attempting to gain unauthorized access to the Platform • Using automated bots, scrapers, or data harvesting tools • Engaging in price manipulation or bid rigging • Soliciting users off-platform to bypass our services
7. Intellectual Property
The Platform and its original content, features, and functionality are owned by Statemart Technologies Pvt. Ltd. and are protected by Indian and international copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Platform without our prior written consent.
8. Transactions & Payments
Statemart.ai is a B2B discovery and lead generation platform. We do not directly process payments between buyers and sellers. All transactions are conducted directly between the buyer and the seller. Statemart.ai is not a party to any transaction and assumes no liability for any transaction, dispute, or loss arising from buyer-seller dealings.
9. Subscription Plans
Seller subscription plans are billed as described at the time of purchase. Subscriptions auto-renew unless cancelled before the renewal date. Refunds are provided at our discretion and subject to the Refund Policy. Downgrading or cancelling a plan does not result in a prorated refund unless explicitly stated.
10. Disclaimer of Warranties
The Platform is provided on an "AS IS" and "AS AVAILABLE" basis without any warranties of any kind, either express or implied. Statemart.ai does not warrant that the Platform will be uninterrupted, error-free, or free of viruses or other harmful components. We do not verify all seller credentials or product quality.
11. Limitation of Liability
To the maximum extent permitted by law, Statemart Technologies Pvt. Ltd. shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising out of or in connection with your use of the Platform. Our total liability shall not exceed the amount paid by you to us in the 3 months preceding the claim.
12. Governing Law & Dispute Resolution
These Terms are governed by the laws of India. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts in Mumbai, Maharashtra, India. Before initiating legal proceedings, parties agree to attempt resolution through mediation for a period of 30 days.
13. Termination
We reserve the right to suspend or terminate your account at any time, without prior notice, if we determine that you have violated these Terms, engaged in fraudulent activity, or pose a risk to other users or the Platform. Upon termination, your right to use the Platform will immediately cease.
14. Changes to Terms
We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Platform after changes constitutes your acceptance of the revised Terms. We recommend reviewing this page periodically.
